Showdio Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Duel App Inc., a Delaware corporation that operates the Showdio™ platform ("Showdio," "we," "us," or "our"). They govern your access to and use of:

  • showdio.com — our marketing site
  • app.showdio.com — the consumer app
  • admin.showdio.com — our admin dashboard
  • brands.showdio.com — the brand customer portal
  • nonprofits.showdio.com — the nonprofit partner portal

and any related mobile apps, emails, push notifications, APIs, and other services we offer (collectively, the "Services").

Please read these Terms carefully. Sections 23 (Disclaimers), 24 (Limitation of Liability), 25 (Indemnification), 27 (Arbitration), and 28 (Class Action Waiver) contain important provisions that affect your legal rights, including a binding arbitration agreement and a class action waiver. By using the Services, you agree to these provisions.

If you are using the Services on behalf of a company, organization, brand, or nonprofit ("Organization"), you represent that you have authority to bind that Organization to these Terms, and "you" includes that Organization.


1. Acceptance of these Terms

By creating an account, accessing, or using any of the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Services.

We may offer additional terms for specific features, products, paid plans, contests, or promotions ("Additional Terms"). Where Additional Terms apply, they are incorporated by reference and, in the event of a conflict, control over these Terms with respect to that specific feature, product, plan, contest, or promotion.


2. Definitions

For convenience, capitalized terms used in these Terms have the meanings below:

  • "Account" — your registered Showdio account, including profile information and credentials.
  • "Brand Customer" — a business that purchases a paid plan to run brand campaigns, sponsor Showdios, or place ads on the platform.
  • "Brand Campaign" — a campaign that a Brand Customer runs through the Services, which may include placements, sponsored Showdios, or other promotional activity.
  • "Content" — any text, video, image, audio, comment, reaction, prompt, scoring input, profile information, or other material made available through the Services.
  • "Entry" — a video or other content submission you make to a Showdio.
  • "Nonprofit Partner" — a tax-exempt organization or other nonprofit that uses the Services to receive donations or run fundraising-affiliated Showdios.
  • "Showdio" (capitalized) — a video competition created on or through the Services. (Lowercase "Showdio" in these Terms means us, the company.)
  • "User Content" — any Content that you or other users submit, upload, post, or otherwise make available through the Services.
  • "You" — the individual using the Services, and where applicable, the Organization you represent.

3. Eligibility

To use the Services, you must:

  • be at least 13 years old;
  • have any necessary parental or legal-guardian consent if you are between 13 and the age of majority in your jurisdiction;
  • not be located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist-supporting" country;
  • not be listed on any U.S. Government list of prohibited or restricted parties;
  • not have been previously banned from the Services or had your account terminated for cause.

Some features have additional eligibility requirements. For example:

  • entering a Showdio that offers cash prizes, claiming prize payouts above certain thresholds, or qualifying for certain pro features may require identity verification through Stripe Identity;
  • some Showdios are restricted by geography, age, or other criteria specified in the Showdio's rules;
  • Brand Customer features are available only to verified business entities;
  • Nonprofit Partner features are available only to organizations that demonstrate eligible tax-exempt status.

If you are under 18, you may use the Services only under the supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf, and you may be restricted from features (such as cash prizes, paid subscriptions, payouts, and identity verification) that we determine are not appropriate for minors.


4. Account registration and security

To use most features of the Services, you must register for an Account. When you register, you agree to:

  • provide accurate, current, and complete information;
  • keep your registration information up to date;
  • maintain the confidentiality of your credentials (and use a strong, unique password);
  • be responsible for all activity that occurs under your Account;
  • promptly notify us at support@showdio.com if you suspect your credentials have been compromised.

You may not:

  • create Accounts by automated means or for the purpose of automating activity on the Services;
  • create more than one Account except where we explicitly allow it (for example, where the same person legitimately operates an Account for themselves and an Account in their capacity as a Brand Customer or Nonprofit Partner administrator);
  • share your Account with another person or transfer your Account without our written permission;
  • impersonate another person or misrepresent your affiliation with any person or Organization.

We may refuse, suspend, or terminate Accounts at our discretion, including for violation of these Terms, suspected fraud, abuse, or any other reason we determine in good faith.


5. The Services

5.1 What the Services do

Showdio is a video competition platform. The core mechanics are:

  • A user creates a Showdio — a video contest with a title, description, category, prize structure, schedule, and rules.
  • Other users (or, for private Showdios, invited participants) submit Entries to that Showdio.
  • Entries are scored — through community voting, judging panels, AI-assisted scoring, or a combination — using the criteria the creator configured.
  • The Showdio progresses through states (for example: draft, open, round 1, finale, pending confirmation, closed) on a schedule the creator sets.
  • When the Showdio closes and results are computed, prizes (if any) are awarded to the winning Entries.

Some Showdios are public; some are private; some are head-to-head "duels." Brand Customers may sponsor or run their own Showdios with custom prize structures and placement. Nonprofit Partners may receive donations from Showdios affiliated with their mission.

5.2 Rankings and results

Until a Showdio is in a closed or awaiting-results state and the results have been finalized:

  • final placements (1st, 2nd, 3rd, etc.) are not displayed anywhere on the Services, including emails and push notifications;
  • we may display counts, scores, tier badges, and field size (e.g., "you're one of 8 finalists"), but not rankings.

After a Showdio closes and results are computed, final placements may be displayed.

5.3 AI-assisted features

The Services include AI-assisted features powered by third-party AI providers (currently Anthropic and Google). These features may help you generate titles, descriptions, hero images, badges, logos, blog posts, how-to content, and other assets. You acknowledge that:

  • AI output is generated probabilistically and may contain inaccuracies, omissions, or unexpected content;
  • you are responsible for reviewing AI output before publishing or relying on it;
  • you must not use AI features to generate prohibited content (see Section 6.2);
  • AI output may be similar to output generated for other users from similar prompts — you should not assume the output is unique;
  • our use of these third-party AI providers is governed by the disclosures in our Privacy Policy.

To the extent we have rights in AI output that you generate using our Services, we grant you a non-exclusive license to use that output as part of your use of the Services and as permitted by these Terms. You retain whatever ownership rights you may have in the prompts you submit, subject to the license you grant us under Section 7.

5.4 Changes to the Services

We are continually improving the Services. We may add, change, suspend, or discontinue features at any time. We will use reasonable efforts to notify you of material changes in advance. If we permanently discontinue the Services, we will give you reasonable advance notice and an opportunity to retrieve your content where feasible.


6. Acceptable use

6.1 General

You agree to use the Services only for lawful purposes and in accordance with these Terms. You will comply with all applicable laws, regulations, and the rules of any specific Showdio you participate in.

6.2 Prohibited content and behavior

You may not, and you may not allow anyone using your Account to:

  • submit, generate, upload, post, share, or transmit Content that:
    • is unlawful, fraudulent, defamatory, libelous, obscene, hateful, harassing, threatening, or invasive of another's privacy;
    • sexualizes, exploits, endangers, or depicts minors in any inappropriate manner;
    • infringes the intellectual property, privacy, publicity, contractual, or other rights of any person;
    • contains malware, viruses, exploits, or any code intended to disrupt or damage software, hardware, or systems;
    • misrepresents your identity, affiliation, or the source of the Content;
    • facilitates illegal gambling, illegal weapons, illegal drugs, or other clearly illegal activity;
    • facilitates the harm or harassment of a specific person, including doxxing, swatting, or targeted abuse;
    • constitutes spam, unsolicited promotional content, or content posted primarily to manipulate scoring, ranking, or recommendations;
  • use the Services to:
    • violate a Showdio's rules, manipulate voting or scoring, vote-brigade, use sockpuppet Accounts, or otherwise game the platform;
    • reverse engineer, decompile, disassemble, or attempt to derive source code from the Services;
    • scrape, crawl, or harvest data from the Services except as permitted by our published APIs and robots.txt;
    • resell, sublicense, or otherwise commercialize the Services without our written permission;
    • run pen tests, vulnerability scans, or other security probes without our prior written authorization;
    • bypass rate limits, usage limits, or paywalls;
    • access non-public parts of the Services (including admin.showdio.com if you are not authorized Showdio staff);
  • use AI features to:
    • generate Content that violates any prohibition above;
    • generate deepfakes or other Content that misrepresents a real person without that person's consent;
    • generate Content that infringes copyrights, trademarks, or other rights of third parties.

We may add to or refine these prohibitions over time, including through published community guidelines or feature-specific rules.

6.3 Reporting violations

If you see Content or behavior that violates these Terms, report it through the in-product reporting tools or email support@showdio.com. We take reports seriously and review them, but we cannot guarantee an outcome, and we may decline to act in particular cases.


7. Your Content and the license you grant us

7.1 You keep ownership

You retain ownership of the User Content you submit to the Services. We do not claim ownership of your Entries, Showdios, comments, or profile content.

7.2 License to Showdio

You grant Showdio a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable, and transferable license to host, store, reproduce, modify (including for technical purposes such as transcoding, resizing, and thumbnail generation), create derivative works of (including for moderation, badging, captioning, and feature rollouts), publish, publicly display, publicly perform, distribute, and otherwise use your User Content in connection with operating, providing, and promoting the Services. This license lasts for as long as you keep the User Content on the Services and for a reasonable period after deletion to allow us to remove it from caches, backups, and downstream systems.

The promotional rights granted above include, for example, the right to display your Entry in marketing materials, social media posts, "highlight reel" compilations, and other promotional content for the Services. We will reasonably attribute you (typically by username) when we use your User Content promotionally outside of the platform context where it was originally posted.

To the maximum extent permitted by law, you waive any moral rights you may have in your User Content with respect to the uses described above.

7.3 License to other users

You grant other users a non-exclusive, non-sublicensable license to access, view, share through the in-product sharing tools, react to, comment on, and (where applicable) score your User Content as part of using the Services.

7.4 Your representations

You represent and warrant that:

  • you own or have all rights necessary to submit the User Content and grant the licenses above;
  • the User Content does not violate any third-party rights or any law;
  • you have obtained all necessary consents (including from any identifiable people appearing in the Content) for the User Content to appear on the Services;
  • any music, fonts, footage, or other assets included in the User Content are licensed for that use.

7.5 Removal

We may remove or restrict access to User Content at our discretion, including (without limitation) if we believe in good faith that the Content violates these Terms, our community guidelines, applicable law, or the rights of a third party; if we receive a credible report or DMCA notice; or if we determine removal is needed to protect the integrity of a Showdio. Removal is not a guarantee that Content does not violate these Terms — and a decision not to remove is not an endorsement.

If we remove Content from a portion of the Services made available through a mobile app store, we will take reasonable steps to remove the Content within 24 hours of confirming it is objectionable, consistent with applicable app-store policies.


8. How Showdios work (contest mechanics)

8.1 Creating a Showdio

When you create a Showdio, you set its title, description, category, visibility (public, private, or duel), schedule, scoring mechanics, eligibility criteria, and prize structure (if any). You are responsible for the accuracy and lawfulness of what you publish, including any claims you make about prizes.

If you offer a prize, you are committing to make the prize available as described, subject to the eligibility criteria and identity verification requirements in these Terms. We may require you to escrow cash prizes or otherwise demonstrate the ability to fulfill before publishing a Showdio with cash prizes.

If your Showdio is sponsored or co-branded with a Brand Customer or Nonprofit Partner, you must comply with any additional terms applicable to that sponsorship.

8.2 Entering a Showdio

When you enter a Showdio, you agree to its specific rules and to these Terms. You must own all rights necessary to submit your Entry and grant the licenses in Section 7. Entries that violate the Showdio's rules, these Terms, or applicable law may be removed, rejected, or disqualified.

You may not enter the same Showdio multiple times unless the Showdio's rules expressly allow it. You may not enter a Showdio you are excluded from by its rules (including age, geography, or affiliation restrictions). You may not coordinate with other users to manipulate scoring.

8.3 Scoring and judging

Showdios may use community scoring (by users), panel judging (by designated judges), AI-assisted scoring, or a combination. The scoring mechanics are described in each Showdio's configuration. By participating in scoring, you agree to score Entries in good faith and according to the Showdio's published criteria.

We may filter, normalize, or invalidate scores that show patterns of manipulation, bot activity, or other abuse. Our scoring decisions are final unless we determine an error occurred.

8.4 Tiers and badges

Entries may earn tier badges (such as Fresh, Magnetic, Star Power, En Fuego, or Wow) based on their performance during a Showdio. Tier badges and XP are part of the gamification of the Services and have no cash value. We may change, retire, or rebalance tiers, XP thresholds, and badges at any time.

8.5 Final results and rankings

Final placements (1st, 2nd, 3rd, etc.) are computed only after a Showdio is in a closed or awaiting-results state. We do not display final rankings before that point. Once results are finalized, they are displayed in the Showdio's results view and may be referenced in emails, push notifications, and recommendations.

We may, in our discretion, audit results, delay publication of results to investigate potential abuse, or revise results if we discover an error or manipulation.

8.6 Prize awards

If you win a prize:

  • you must comply with the Showdio's rules and these Terms;
  • we (and the prize sponsor where applicable) may require you to complete identity verification, sign a liability and publicity release, provide W-9 or other tax forms, and provide accurate fulfillment information (mailing address, banking details);
  • cash prizes are paid out through Stripe and may be subject to processing times and fees disclosed at payout;
  • physical prizes are shipped to the address you provide, and shipping/customs/duties may be your responsibility unless the Showdio's rules say otherwise;
  • digital prizes are delivered electronically;
  • prizes are non-transferable and cannot be redeemed for cash equivalents unless the Showdio's rules say otherwise;
  • if we cannot reach you, you don't respond within a reasonable time, or you don't pass identity verification, we (or the sponsor) may award the prize to the next-eligible Entry, or withhold the prize entirely.

You are responsible for any taxes owed on prizes. Where required by U.S. tax law, we will report prize winnings to the IRS and issue you a Form 1099 or equivalent.

8.7 Eligibility to win

To win cash prizes or prizes above certain thresholds, you must:

  • be at least 18 years old (or have a parent or legal guardian claim the prize on your behalf where permitted);
  • pass identity verification;
  • not be a resident of a jurisdiction where the Showdio is not offered;
  • not be an employee, officer, contractor, or immediate family member of Showdio, the prize sponsor, or any party involved in administering the Showdio (unless the Showdio's rules expressly allow it).

8.8 No purchase necessary; not a lottery

Unless a specific Showdio's rules expressly disclose otherwise, Showdios are skill-based contests, not games of chance. No purchase is necessary to enter or win. Where applicable, alternative methods of entry are described in the Showdio's rules.


9. Payments, subscriptions, and prices

9.1 Paid features

Some features of the Services are free; others (including pro subscriptions, Brand Customer plans, certain AI generations, and certain prize escrow services) require payment. Pricing is disclosed at the point of purchase.

9.2 Payment processing

Payments are processed by Stripe and (where applicable) Apple App Store, Google Play, or other third-party app stores. We do not collect or store full payment card numbers. By providing payment information, you authorize us (and the relevant payment processor) to charge that payment method for the amounts you owe.

If a payment fails or is reversed, we may suspend access to the affected features until payment is resolved, and we may recover the amount owed plus reasonable costs.

9.3 Subscriptions

Subscriptions automatically renew at the end of each billing period (e.g., monthly, annually) until you cancel. You can cancel anytime through your account settings or, if your subscription was purchased through an app store, through that app store's subscription management.

If you cancel, your subscription remains active through the end of the current billing period and is not refunded for the unused portion, except where required by law. We may offer free trials or promotional pricing from time to time; those convert into paid subscriptions automatically unless you cancel before the trial or promotional period ends.

9.4 Price changes

We may change prices and fees from time to time. For ongoing subscriptions, we will notify you of price changes at least 30 days in advance, and the new price will apply on your next renewal. If you don't agree to the new price, you can cancel before it takes effect.

9.5 Taxes

Prices are exclusive of taxes unless we state otherwise. You are responsible for any sales, use, value-added, withholding, or other taxes applicable to your purchases, except for taxes on our net income.

9.6 Refunds

Except where required by law or expressly stated otherwise in these Terms or Additional Terms:

  • subscription fees are non-refundable;
  • one-off purchases are non-refundable once delivered;
  • amounts you've paid into a prize pool are non-refundable once a Showdio has progressed past the draft state and Entries have been received.

If you bought through an app store, refund requests must be made through that app store under its policies.

9.7 Right to withdraw (EU/UK consumers)

If you are a Consumer in the European Union, the United Kingdom, or another jurisdiction with statutory withdrawal rights, you have a right to withdraw from your initial subscription purchase within 14 days, except for digital content and services that have already started to be supplied with your express consent and acknowledgment that you lose your withdrawal right by starting to use them. By starting to use the Services or by submitting an Entry, requesting AI generation, or claiming a prize within the 14-day period, you expressly consent to immediate performance and acknowledge that you lose the right of withdrawal for what has already been performed.


10. Brand Customer Addendum

This section applies in addition to the rest of these Terms when you are a Brand Customer or an individual user acting on behalf of a Brand Customer.

10.1 Authorized use

The brand portal is for verified businesses. You may use it only on behalf of a business that has agreed to these Terms. Adding seats for additional users is allowed where the workspace plan supports it; each seat user must agree to these Terms before accessing the Services.

10.2 Brand Campaigns

Brand Customers may create campaigns through the Services, which may include sponsored Showdios, placements (banner, video, or in-feed), branded badges, custom prize structures, and other promotional mechanics described in the brand portal. Campaigns are governed by these Terms, the campaign-specific configuration, and any insertion order or order form executed between Showdio and the Brand Customer.

10.3 Brand-safety

Brand Customers acknowledge that user-generated content is by nature unpredictable. While we apply moderation and brand-safety controls (including category filters, keyword filters, and human review where configured), we do not guarantee that all Content adjacent to a Brand Campaign will be free of objectionable material. Brand Customers may flag concerns through the in-product controls or by contacting support@showdio.com, and we will use commercially reasonable efforts to address them. Outcomes are described in the campaign performance reports we provide.

10.4 Content provided by the Brand Customer

Brand Customers retain ownership of their trademarks, logos, campaign creative, and other content they provide to us ("Brand Content"). Brand Customers grant Showdio a non-exclusive, worldwide, royalty-free license to use, host, reproduce, modify (only to fit the technical requirements of the Services), and display Brand Content as needed to deliver the campaign. Brand Customers warrant that Brand Content does not violate any law or third-party right.

10.5 Use of campaign data

Brand Customers receive aggregated and de-identified performance metrics about their campaigns. Where a campaign Entry includes personal information that the entrant chose to share with the Brand Customer (for example, to receive a prize), the Brand Customer becomes a separate controller of that personal information and is responsible for handling it lawfully. Brand Customers may not use personal information obtained through the Services to retarget, profile, or contact users for purposes other than fulfilling the campaign, except as permitted by these Terms and applicable law.

10.6 Brand billing

Brand Customer plans are billed in advance, automatically renew, and are non-refundable except where required by law or as expressly agreed in writing. Late payments may accrue interest at the lesser of 1.5% per month or the maximum permitted by law. We may suspend or terminate a Brand Campaign or the brand workspace for non-payment.

10.7 Restrictions

Brand Customers may not:

  • run campaigns for unlawful products or services;
  • run campaigns directly targeting minors with products inappropriate for minors;
  • misrepresent the Brand or the campaign;
  • circumvent the Services' moderation or brand-safety controls;
  • use the Services to compete with Showdio (for example, by recruiting users away from the platform to a competing video-contest product).

10.8 No agency

Nothing in this Addendum creates an agency, partnership, or employment relationship between Showdio and the Brand Customer.


11. Nonprofit Partner Addendum

This section applies in addition to the rest of these Terms when you are a Nonprofit Partner or an individual acting on behalf of a Nonprofit Partner.

11.1 Eligibility

Nonprofit Partner features are available only to organizations that demonstrate eligible tax-exempt status under applicable law (in the U.S., generally section 501(c)(3) of the Internal Revenue Code or equivalent). You must provide documentation of that status (for example, a determination letter) and update us if your status changes.

11.2 Donations and fundraising

Donations made through the Services are processed by Stripe. We may:

  • charge a platform fee or processing fee, as disclosed at the time of donation;
  • pass through any payment-processor fees;
  • collect and remit U.S. sales/use tax on platform fees where required.

Donations are made to the Nonprofit Partner, not to Showdio. Showdio acts as a technology platform, not as a fundraising intermediary, broker, or fiduciary, unless a separate written agreement says otherwise.

11.3 Tax receipts and reporting

Nonprofit Partners are responsible for:

  • issuing donation receipts and acknowledgments to donors as required by law;
  • making any required disclosures about the deductibility of donations;
  • registering as a charitable solicitor where required;
  • complying with applicable state and federal fundraising laws.

We may provide donor data (name, email, donation amount, date) to the Nonprofit Partner to assist with receipting, unless the donor elected to give anonymously.

11.4 Use of donor data

Nonprofit Partners become a separate controller of donor data they receive through the Services. Nonprofit Partners may use donor data to send tax receipts, deliver donor stewardship communications, and run their fundraising operations, subject to applicable law and their own privacy policy.

11.5 Restrictions

Nonprofit Partners may not:

  • misrepresent the use of donated funds;
  • divert donations away from the disclosed purpose without donor consent;
  • run campaigns for purposes that are not within the Nonprofit Partner's tax-exempt mission;
  • use the Services to launder funds or for any other unlawful purpose.

11.6 No endorsement

Showdio does not endorse any Nonprofit Partner or its mission, and the appearance of a Nonprofit Partner on the Services is not a statement of endorsement.


12. Moderation

We use a combination of automated tooling (including AI-assisted classifiers) and human review to moderate Content for compliance with these Terms, our community guidelines, applicable law, and the rules of specific Showdios. Moderation outcomes include warnings, takedowns, restricted distribution, demonetization, prize disqualification, account suspension, and account termination.

We make moderation decisions in good faith, but we are not perfect. If you believe a moderation decision was wrong, you can appeal by contacting support@showdio.com.


13. Copyright and the DMCA

We respect the intellectual property rights of others and expect users to do the same.

13.1 Reporting infringement

If you believe Content on the Services infringes your copyright, send a notice that complies with the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated agent. The notice must include:

  • a physical or electronic signature of the rights owner or authorized agent;
  • identification of the copyrighted work claimed to have been infringed;
  • identification of the allegedly infringing Content and information sufficient for us to locate it (e.g., the URL);
  • your contact information (name, address, telephone, email);
  • a statement, under penalty of perjury, that you have a good-faith belief that the disputed use is not authorized;
  • a statement, under penalty of perjury, that the information in the notice is accurate and you are authorized to act for the rights owner.

13.2 Counter-notices

If you believe your Content was removed in error, you may send a counter-notice that includes the elements required by 17 U.S.C. § 512(g). We may restore the Content unless the original complainant files a court action within the time periods set by the DMCA.

13.3 Repeat infringers

We will terminate Accounts of users we determine in our discretion to be repeat infringers.

13.4 Knowingly false claims

Knowingly misrepresenting in a notice or counter-notice that material is infringing or was removed in error can result in liability for damages under the DMCA.


14. Trademarks

"Showdio™," the Showdio logo, the standalone "S" mark, and the names and designs of features within the Services are trademarks of Duel App Inc. or its licensors. You may not use them without our prior written permission, except to refer to the Services accurately and in a way that does not suggest endorsement or affiliation.

Trademarks of third parties that appear on the Services are the property of their respective owners.


15. Third-party services and links

The Services may link to or interoperate with third-party websites, apps, content, advertisements, or services. Those third parties are not under our control, and we are not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and is governed by the terms and policies of those services.

The Services include integrations with payment processors (e.g., Stripe), AI providers (e.g., Anthropic, Google), infrastructure providers (e.g., Supabase, Vercel), and identity verification providers (e.g., Stripe Identity). Your use of those integrations may be subject to the third party's terms.


16. Beta features

From time to time we make features available on a beta, preview, or experimental basis. Beta features are provided as-is, may change or be removed without notice, and may have limited support. Information you provide about your experience with beta features may be used to improve the Services.


17. Feedback

If you send us feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable license to use that feedback without any obligation to you. Feedback is not confidential.


18. Communications

By using the Services, you consent to receive communications from us, including transactional emails (account changes, payment receipts, Showdio status, results, security alerts) and in-product notifications. We send these as part of providing the Services and you cannot opt out of them while you have an active Account.

We may also send marketing communications. You can opt out of marketing communications by using the unsubscribe link in any marketing email or by adjusting your preferences in account settings.

If you provide a phone number for SMS, you consent to receive transactional SMS at that number; standard message and data rates may apply. You can opt out of SMS as described in the message.


19. APIs

If we make APIs available, your use is governed by these Terms plus any API-specific documentation, rate limits, and Additional Terms we publish. You are responsible for your use of the APIs, including any third-party tools you use to access them. We make no warranty that the APIs will remain available or unchanged.


20. Term and termination

20.1 Term

These Terms remain in effect while you have an Account or otherwise use the Services.

20.2 Your termination rights

You may terminate your relationship with us at any time by deleting your Account in your account settings or by contacting support@showdio.com. Termination does not entitle you to a refund of fees already paid, except where required by law.

20.3 Our termination rights

We may suspend, restrict, or terminate your access to the Services (in whole or in part) at any time, with or without notice, if we believe in good faith that you have violated these Terms, that suspension or termination is necessary to comply with law or to protect Showdio, its users, or third parties, or for any other reason. Termination of a paid plan for cause does not entitle you to a refund.

20.4 Effect of termination

When your Account is terminated:

  • your right to use the Services ends;
  • we may delete Account data and User Content, subject to our retention practices described in the Privacy Policy and any legal obligations to retain;
  • provisions that by their nature should survive (including Sections 7, 13, 14, 17, 23, 24, 25, 26, 27, 28, and 29) will survive termination.

21. Service interruptions

We may need to interrupt the Services for maintenance, upgrades, or to respond to security or operational issues. We will try to provide reasonable notice of planned interruptions, but we may not be able to in every case (for example, in response to an active security incident). Force majeure events (acts of nature, war, terrorism, civil unrest, labor disputes, infrastructure outages outside our control, etc.) may also affect availability and are not our responsibility.


22. Reselling

You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express prior written permission.


23. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Showdio and its affiliates, officers, directors, employees, agents, licensors, and suppliers disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including (but not limited to) implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that:

  • the Services will be uninterrupted, secure, error-free, or virus-free;
  • the Services will meet your requirements;
  • errors or defects will be corrected;
  • the results obtained from the Services will be accurate or reliable;
  • any Content (whether User Content, AI-generated, or third-party) is accurate, reliable, or non-infringing.

No advice or information, whether oral or written, obtained from us or through the Services creates any warranty not expressly stated in these Terms.

Some jurisdictions do not allow the exclusion of certain warranties. The above exclusions may not apply to you to the extent they are prohibited by applicable law.


24. Limitation of liability

To the maximum extent permitted by applicable law, Showdio and its affiliates, officers, directors, employees, agents, licensors, and suppliers will not be liable for:

  • any indirect, incidental, special, consequential, exemplary, or punitive damages, including damages for lost profits, lost revenue, lost data, lost goodwill, service interruption, computer damage, or system failure;
  • damages or losses resulting from unauthorized access to or use of our servers or any personal information stored on them;
  • damages or losses resulting from any User Content, third-party content, or third-party services;
  • damages or losses resulting from your reliance on AI-generated output;
  • damages or losses resulting from delays or failures to deliver prizes by sponsors;

in each case, even if we have been advised of the possibility of such damages and even if a remedy in these Terms is found to have failed of its essential purpose.

Our total cumulative liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) the total amount you paid to us in the 12 months immediately preceding the event giving rise to liability or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. The above limitations apply to the maximum extent permitted by applicable law in your jurisdiction.


25. Indemnification

You agree to defend, indemnify, and hold harmless Showdio and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • your access to or use of the Services;
  • your User Content, including any User Content generated using our AI features;
  • your violation of these Terms or any Additional Terms;
  • your violation of any law or third-party right (including intellectual property rights, privacy rights, or publicity rights);
  • your participation in a Showdio (whether as creator, entrant, scorer, or sponsor);
  • your interactions with other users; and
  • if you are a Brand Customer or Nonprofit Partner, your Brand Content, campaigns, fundraising, and use of donor or campaign data.

We may, at our option, assume exclusive defense and control of any matter subject to indemnification by you. You will cooperate with our defense and will not settle any matter without our prior written consent.


26. Governing law

These Terms and any dispute arising out of or relating to them or the Services will be governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

If you are a Consumer in a jurisdiction whose laws require that another body of law govern, those mandatory consumer protection laws will apply to the extent they grant you greater protection.


27. Dispute resolution and arbitration

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH SHOWDIO AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF.

27.1 Informal resolution first

Before filing a claim, you agree to try to resolve the dispute informally by contacting support@showdio.com and describing the dispute and the relief you seek. We will try in good faith to resolve the dispute through informal negotiation within 60 days. If we cannot resolve it informally, you or Showdio may proceed to arbitration.

27.2 Binding arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a "Dispute"), other than the Excluded Disputes in Section 27.5, will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or for non-consumer Brand Customer or Nonprofit Partner Disputes, its Commercial Arbitration Rules), as modified by these Terms.

The arbitration will be conducted by a single arbitrator. The seat of arbitration will be Wilmington, Delaware. The arbitration will be conducted in English. Hearings may be held remotely, by phone or video, at the parties' option. The arbitrator has authority to award the same individual relief that a court could award.

The arbitrator's decision will be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

27.3 Fees

For Consumer arbitrations under the AAA's Consumer Arbitration Rules, the allocation of fees is governed by those Rules. We will pay our share as required by the Rules and, where they require us to pay the entire arbitrator and AAA fee for claims under a certain threshold, we will do so.

27.4 No jury, no class actions

By agreeing to arbitration, you and Showdio are giving up the right to a trial by jury and the right to participate in a class action, class arbitration, or other representative proceeding. See Section 28 for the class action waiver.

27.5 Excluded Disputes

The arbitration agreement in this Section 27 does not apply to:

  • claims for injunctive or equitable relief to stop unauthorized use or misuse of the Services, infringement of intellectual property, or violations of confidentiality;
  • small-claims-court matters that fall within the small-claims court's jurisdiction;
  • disputes that cannot be required to be arbitrated under applicable law.

27.6 Opt-out

You may opt out of this arbitration agreement within 30 days after you first agree to these Terms. To opt out, send a written notice to support@showdio.com with the subject line "Arbitration Opt-Out" that includes your name, the email associated with your Account, and a clear statement that you are opting out. Opting out of arbitration does not opt you out of any other part of these Terms.

27.7 Survival

This arbitration agreement survives termination of your Account and of these Terms.


28. Class action waiver

You and Showdio agree that any Dispute will be brought only on an individual basis and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

If a court or arbitrator decides that this class action waiver is unenforceable as to a particular claim, that claim (and only that claim) will be severed from arbitration and may proceed in court. The remaining claims will continue in arbitration.


29. Changes to these Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Services and, where appropriate, by emailing you or showing a notice in-product before the change takes effect.

Changes apply to your relationship with us from the effective date stated in the update. The version of the Terms in effect at the time of the conduct in question governs disputes that arose before the update.

Your continued use of the Services after the effective date of an update constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Services and may terminate your Account.

For material changes affecting paid plans, we will give you reasonable advance notice (typically 30 days) before changes take effect, and you may cancel during that period if you do not accept the changes.


30. App store provisions

If you accessed or downloaded the Services from the Apple App Store or Google Play, the following additional terms apply:

  • These Terms are between you and Showdio, not the app store. The app store is not responsible for the Services or their content.
  • The app store has no obligation to provide maintenance or support for the Services.
  • If the Services fail to conform to any applicable warranty, you may notify the app store, which may refund any amount you paid for the Services. To the maximum extent permitted by law, the app store will have no other warranty obligation.
  • The app store is not responsible for addressing any claims you or any third party has relating to the Services.
  • The app store is a third-party beneficiary of these Terms and may enforce them against you as a third-party beneficiary.

You must comply with all applicable app store terms when using the Services through an app store.


31. Assignment

You may not assign or transfer these Terms or your Account without our prior written consent. We may assign these Terms (in whole or in part) without restriction, including to an affiliate or in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.


32. No waiver

Our failure to enforce any provision of these Terms is not a waiver of that provision. A waiver of any provision is effective only if in writing and signed by an authorized representative of Showdio.


33. Severability

If a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or, if it cannot be modified, severed from these Terms. The remaining provisions remain in full force and effect.


34. Entire agreement

These Terms, our Privacy Policy, and any Additional Terms incorporated by reference are the entire agreement between you and Showdio regarding the Services and supersede all prior or contemporaneous communications, proposals, and agreements (whether oral or written) regarding the same subject matter.


35. Relationship of the parties

These Terms do not create any agency, partnership, joint venture, employment, or franchise relationship between you and Showdio. Neither party has the authority to bind the other.


36. Notices

We may send notices to you via email to the address on your Account, through in-product notifications, or by posting on the Services. You agree that notices delivered in any of these ways satisfy any legal requirement that notice be in writing.

This summary is not a substitute for these Terms, but is a quick reference.

  • You must be at least 13 (with parental consent under 18) to use Showdio.
  • You own your Content. You give us a license to host, display, and promote it as part of running the Services.
  • Don't post stuff that's illegal, that harms others, or that violates someone else's rights.
  • Showdios are skill-based contests. No final rankings before close. Prize winners need to verify identity.
  • Subscriptions auto-renew until you cancel.
  • The Services are provided as-is, with significant limitations on our liability.
